3. Prices and Payment

3.1 All retail prices are displayed in Ghana Cedi (GHS) unless otherwise explicitly stated.
3.2 Full payment must be completed and cleared before orders are processed, packed, and shipped.
3.3 ArtDivineShop reserves the right to correct pricing or typographical errors at any time and cancel affected orders.

4. Order Acceptance and Contract Formation

4.1 Submitting an order through the online checkout does not automatically create a binding contract.
4.2 A legally binding retail contract is formed only when ArtDivineShop explicitly confirms the order and shipment status.
4.3 ArtDivineShop reserves the right to refuse or cancel any consumer order due to product stock depletion, pricing errors, suspected payment fraud, or incorrect customer account information.

5. Delivery and Shipping Policy

5.1 Delivery services are available within the geographic areas serviced by ArtDivineShop and its authorized delivery partners.
5.2 Applicable shipping charges will be clearly displayed before the final checkout screen.
5.3 Delivery times listed on the website are estimates only and may vary depending on courier availability, transportation providers, and the delivery destination.
5.4 Standard delivery within Accra typically takes 2 to 3 business days, while regional deliveries outside Accra take 3 to 5 business days.
5.5 Customers will be informed of significant delivery delays where reasonably possible. ArtDivineShop shall not be held liable for delivery delays caused by circumstances beyond its reasonable control (e.g., severe weather, fuel shortages, carrier disruptions).
5.6 Customers are entirely responsible for providing accurate and complete delivery details. Additional delivery fees will apply if a package must be re-routed due to incorrect information.
5.7 Customers are responsible for ensuring that an authorized person is available to accept the delivery. A signed delivery note, waybill, or digital carrier confirmation constitutes conclusive proof of successful delivery.

6. Cosmetics and Beauty Products Disclaimer

6.1 All cosmetic and beauty products sold on this website are intended strictly for external use.
6.2 Customers are fully responsible for reviewing all product ingredients listed on the packaging before use to avoid personal allergic reactions.
6.3 Customers with known allergies, hypersensitive skin, or pre-existing medical skin conditions must perform a small skin patch test before full application.
6.4 ArtDivineShop does not guarantee specific cosmetic, aesthetic, or dermatological results, as individual skin types react differently.
6.5 Natural products may naturally vary slightly in color, scent, texture, or visual appearance from batch to batch.

7. Product Information and Images

7.2 Third-party manufacturers may update product packaging, labels, or ingredient formulations without prior notice to ArtDivineShop.

8. Returns, Consumer Safety, and Refunds

8.1 Damaged or Incorrect Products: Customers must inspect their order immediately and report damaged, defective, or incorrect products within forty-eight (48) hours of delivery.
8.2 Required Evidence: To initiate a return, customers must provide clear photographic evidence of the damaged or incorrect item alongside their official order number to info@artdivineshop.com.
8.3 Hygiene & Consumer Safety Exclusion: For strict hygiene, public health, and consumer safety reasons, opened, used, tested, or unsealed cosmetic and beauty products cannot be returned, exchanged, or refunded under any circumstances, unless they are proven to have been fundamentally defective prior to delivery.
8.4 Condition of Goods: For approved non-cosmetic returns or verified defective items, products must be completely unused, unaltered, and returned securely in their original product packaging.
8.5 Refund Processing: All returned items undergo a physical quality control inspection before a refund or replacement is authorized. Approved refunds will be issued back to the original payment method (including Paystack mobile money or card accounts) within standard banking timelines. Original shipping charges are non-refundable unless the return is a direct consequence of a fulfillment error made by ArtDivineShop.

9. Limitation of Liability

9.1 To the maximum extent permitted by applicable law in Ghana, ArtDivineShop shall not be liable for any indirect, incidental, or consequential damages arising from the use of its products or website services.
9.2 Total aggregate liability for any proven claim shall strictly not exceed the actual purchase price paid by the customer for the specific order in question.

10. Privacy and Data Protection

10.1 ArtDivineShop collects personal customer data (name, shipping address, telephone number, email address, and transaction history) strictly for order processing, delivery logistics, payment verification, and customer support.
10.2 Customer data will never be sold, rented, or shared with third-party marketing brokers. Data is only shared with essential operators (logistics providers and secure payment systems like Paystack).

11. Governing Law and Jurisdiction

1.2 Official sales channels include artdivineshop.com, ArtDivineShop’s Facebook page, Instagram account, WhatsApp Business account, and any other official sales platforms operated explicitly by ArtDivineShop.
1.3 By placing an order, submitting a purchase order, or initiating a transaction through any official ArtDivineShop sales channel, the Buyer confirms they are acting in a commercial capacity and expressly agrees to be bound by these Terms and Conditions.

2. Products, Information, and Availability

2.2 If a product becomes unavailable after a commercial order has been placed, ArtDivineShop reserves the right to cancel the order and provide either an equivalent replacement product, a credit note, or a full refund.
2.3 Product images, descriptions, and packaging representations on the website are for illustrative purposes only. Minor variations in color, packaging style, labeling, scent, texture, or appearance may occur. Manufacturers and suppliers reserve the right to alter packaging or ingredient formulations without prior notice.

3. Pricing and Payment Terms

3.1 All prices are displayed in Ghana Cedi (GHS) unless otherwise explicitly stated in a custom wholesale invoice.
3.2 Full payment must be cleared and received before commercial orders are processed, manufactured, fulfilled, or shipped.
3.3 ArtDivineShop reserves the right to cancel orders arising from typographical or system pricing errors.
3.4 Ownership and title of all goods remain exclusively with ArtDivineShop until full and final payment has been successfully processed and received.
3.5 Any billing discrepancies, payment disputes, or queries regarding charges processed via our third-party payment gateway (Paystack) must be raised in writing to ArtDivineShop within seven (7) business days of the transaction date. Failure to object within this window constitutes full, irrevocable acceptance of the charge. The Buyer explicitly agrees not to initiate a chargeback with their bank or Paystack without first exhausting this internal dispute process.

4. Order Acceptance and Formation of Contract

4.1 The submission of a digital order or wholesale request does not constitute a binding contract. A contract is exclusively formed only when ArtDivineShop issues an explicit, formal order confirmation or invoice receipt to the Buyer.
4.2 ArtdivineShop reserves the absolute right to refuse, limit, or cancel any commercial order at its sole discretion due to product stock depletion, pricing errors, suspected payment fraud, or inaccurate/incomplete customer account information.

5. Delivery and Transfer of Risk

5.1 Delivery services are restricted to geographic areas serviced by ArtDivineShop and its authorized third-party logistics partners. Shipping charges are calculated based on weight/volume and will be displayed or invoiced prior to final checkout.
5.2 Delivery timelines are estimates only. Standard processing and delivery within Accra typically require 2 to 3 business days, while regional deliveries outside Accra require 3 to 5 business days. Timelines may fluctuate depending on local sourcing hub capacities, carrier logistics, and final destination accessibility.
5.3 ArtDivineShop shall not be held liable for any commercial losses, delays, or failures in performance caused by circumstances beyond its reasonable control (Force Majeure). This includes, but is not limited to, supplier delays, customs bottlenecks, transportation disruptions, fuel shortages, extreme weather conditions, or civic disturbances.
5.4 The Buyer is solely responsible for providing precise delivery information. Additional logistical costs incurred due to incorrect shipping details will be billed directly to the Buyer.
5.5 The risk of loss, damage, or deterioration of the goods transfers entirely to the Buyer the moment the items leave ArtDivineShop’s facility or are handed over to the third-party transportation provider/courier.
5.6 A signed delivery note, waybill, or electronic confirmation from our delivery partner shall constitute conclusive, legally binding proof of successful delivery. If a delivery fails due to the Buyer’s absence or refusal to accept the shipment, the Buyer remains fully liable for all processing, storage, and return delivery fees incurred.

6. Cosmetics, Beauty Products, and Resale Compliance

6.1 All cosmetic and beauty products sold by ArtDivineShop are formulated and intended strictly for external use.
6.2 The Buyer bears full responsibility for reviewing ingredient profiles, product sheets, and allergens before purchase or commercial distribution.
6.3 As a commercial entity, the Buyer assumes all responsibility for ensuring compliance with the Food and Drugs Authority (FDA) of Ghana and all other applicable regional health regulations regarding the resale, advertising, storage, and thermal management of cosmetic and beauty products.
6.4 ArtDivineShop does not guarantee specific cosmetic, skin health, or beauty results, as individual physiological reactions vary.
6.5 ArtDivineShop does not claim that any cosmetic product diagnoses, treats, cures, or prevents any disease, medical condition, or dermatological disorder.
6.6 The Buyer agrees to indemnify, defend, and hold harmless ArtDivineShop from any claims, liabilities, lawsuits, or damages arising out of the Buyer’s improper storage, altered product labeling, unauthorized medical marketing claims, or resale of the products to third-party retail consumers.

7. B2B Returns, Defect Claims, and Refunds

7.1 Strict Inspection & Claims Window: Wholesale and bulk buyers (orders with 12+ items) must inspect all shipments immediately upon receipt. Any claims for shortages, defects, damage, or incorrect items must be reported in writing within three (3) business days following delivery. Failure to report within this strict 3-day window constitutes absolute, irrevocable acceptance of the shipment as-is.
7.2 Return Authorizations (RMA): Returns from commercial buyers will not be accepted under any circumstances without prior written authorization and a Return Merchandise Authorization (RMA) confirmation from ArtDivineShop management. Returned items must be entirely unused, untampered with, and packed securely in their original commercial packaging.
7.3 Paystack Fee Deductions & Financial Terms: All approved B2B returns are subject to a quality control inspection before a credit note, replacement, or refund is finalized.
7.4 Processor Fee Deductions: Approved refunds will be processed via the original payment method. Any non-refundable transaction processing fees charged by our payment gateway (Paystack) will be deducted from the Buyer’s final refund amount, unless the return results directly from a proven fulfillment error by ArtDivineShop. All original shipping, handling, and logistics fees are completely non-refundable for commercial orders.

8. Limitation of Liability

8.1 To the maximum extent permitted by the laws of Ghana, ArtDivineShop shall not be liable to the Buyer for any indirect, incidental, special, punitive, or consequential damages. This includes, without limitation, loss of business profits, loss of revenue, market reputation damage, or product spoilage losses.
8.2 The total aggregate liability of ArtDivineShop for any claim arising out of or in connection with a commercial transaction shall be strictly limited to the actual purchase price paid by the Buyer for the specific order giving rise to the dispute.

9. Privacy and Business Data

9.1 ArtDivineShop collects and processes corporate and personal data exclusively for handling trade logistics, customer accounts, and financial compliance.
9.2 Business data will never be sold, leased, or traded to third-party marketing brokers. Data will only be disclosed to licensed logistics carriers, payment settlement providers (such as Paystack), or government regulatory bodies where required by law.
9.3 Industry-standard physical, administrative, and electronic protocols are utilized to safeguard commercial data from unauthorized exposure or malicious access.

10. Governing Law and Jurisdiction

10.1 These B2B Terms and Conditions, alongside all procurement contracts resulting from them, shall be exclusively governed by, construed, and enforced in accordance with the Laws of the Republic of Ghana.
10.2 Any dispute, controversy, or litigation arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the competent Courts of Ghana.
